What is a contract?

A contract is simply an agreement between two (or more) parties for the exchange of consideration. Usually contracts concern the exchange of money for a good or service or an agreement to do or not to do something. Certain types of contracts must be in writing. In the majority of situations it is best to have a written agreement that clearly states the duties and responsibilities.

The attorneys at Neill Griffin Marquis Osking, PLLC, can assist you with making sure that your contract is going to be a valid and binding agreement.

When do I need a contract?

Whether you are buying a large business, purchasing property, looking to rent property, or looking to purchase something very small, a contract can be invaluable when something goes wrong. When two parties cannot agree on how to proceed forward or elsewise, it can be very beneficial to have a contract that details how they are to go their separate ways or what is going to happen. Otherwise, disputes are boiled down to a “he said, she said” arguments that are difficult to enforce.

Not having a contract can be very costly and could lead to costly and prolonged litigation.

When should I seek the help of a Contract Attorney?

There are many different ways to draft a contract and careful thought and consideration should be taken with each term of a contract. We feel that the earlier an attorney can be involved the better. There are certain provisions of a contract that you may want to include or omit from your contract, depending on the circumstances. For example, in the event of a lawsuit, will the winner have get to have their attorney’s fees paid by the loser? Or, if a provision of the contract is ambiguous, unclear, who will the court read the contract in favor of? These are good questions to ask your attorney and they can be addressed in your contract during the drafting phase.
